Moraga Community Foundation
The Moraga Community Foundation requires a board of directors that is broadly representative of the entire Moraga community and one that embodies the multiple perspectives and interests reflected in the foundation’s mission statement. Collectively board members must also bring the necessary skills, and be able to commit sufficient volunteer time, to fulfill the fiduciary duties of the board. Directors are selected for their knowledge of the charitable, benevolent and educational needs of the inhabitants of the Town of Moraga. Members of the Board and candidates for election or appointment to the Board shall live in the Moraga area or have a principal place of business in the Moraga area. This broad, community-based board ensures credibility for the work of the foundation.
Mission: The Moraga Community Foundation is a philanthropic organization that works with the community to build a vibrant future for Moraga.
General Responsibilities
Supporting the Foundation’s mission, purpose, goals, policies and programs while knowing its strengths and needs Identifying and recruiting other Board Members; suggesting possible nominees to the board who are individuals of achievement who can make significant contributions to the work of the Board and the progress of the Foundation Serving actively on committees or task forces and taking on special assignments Representing the foundation to stakeholders; acting as an ambassador for the organization.
Fundraising - A primary responsibility
Board Members will consider the foundation as a philanthropic priority and make annual gifts that reflect that priority. So that the foundation can credibly solicit contributions from foundations, organizations, and individuals, it expects to have 100 percent of board members make an annual contribution that is commensurate with their capacity but no less than the minimum amount if one is established by the board for its members realizing the leadership role that board members must take in fund development Board members will actively participate in soliciting financial donations from others. Participate actively in all Foundation fundraising special events, programs and activities.
Meetings
Preparing for and attend all board and committee meetings unless significant conflicts arise Reviewing agendas and supporting materials prior to board and committee meetings; coming to meetings prepared.
Maintaining confidentiality of the board’s executive sessions, and speaking for the board or Foundation only when authorized to do so.
Avoiding Conflicts
Serving the Foundation as a whole rather than any special interest group or constituency Avoiding even the appearance of a conflict of interest that might embarrass the board or Foundation, and disclosing any possible conflicts to the board in a timely fashion Never accepting (or offering) favors or gifts from (or to) anyone who does business with the Foundation.
Fiduciary Responsibilities
Approving the annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities; read and understand the Foundation’s financial statements.
Board terms/participation
Board Members will serve two-year terms.
Board meetings will be held monthly unless changed by resolution of the Board. Committee meetings will be held in coordination with full board meetings.
Qualifications

Service on the Foundation’s board is without remuneration.
